1. ACCEPTANCE OF TERMS

Welcome to the RapidXL platform. Please read these Terms of Service ("Terms") carefully. These Terms constitute a binding legal agreement between you ("User," "Customer," or "You") and Mystivas LLC, a Texas limited liability company doing business as Nitropace ("Company," "We," or "Us").

IMPORTANT NOTICE: Although this website and service may utilize the branding, logos, or trademarks of "Nitropace," the provider of this service and the sole entity liable for the performance of these Terms is Mystivas LLC. By accessing or using our software-as-a-service products, you acknowledge and agree that your contractual relationship is solely with Mystivas LLC.

If you do not agree to these Terms, you must not access or use the Service.

2. DESCRIPTION OF SERVICE

RapidXL is a software-as-a-service platform that provides autonomous marketing automation and content generation (the "Service").

AI & Automation Disclaimer: The Service utilizes Artificial Intelligence (AI) and autonomous agents to generate content and perform actions. You acknowledge that:

  • Accuracy: AI-generated content may contain errors, facts that are incorrect ("hallucinations"), or bias. You are responsible for reviewing all output before publishing.
  • No ROI Guarantee: We do not guarantee any specific marketing results, followers, engagement, or Return on Investment (ROI) from using the Service.

3. LIMITED AGENCY & THIRD-PARTY ACCOUNTS

By connecting your third-party social media or marketing accounts (e.g., X, LinkedIn, Reddit) to the Service, you grant Mystivas LLC a Limited Power of Attorney to act as your agent to access, post, and interact with those platforms on your behalf.

  • Compliance: You are solely responsible for ensuring that your use of the Service complies with the Terms of Service of those third-party platforms.
  • Risk of Ban: You acknowledge that the use of automation tools carries an inherent risk of account restriction or banning by third-party platforms. Mystivas LLC is not liable for the suspension, banning, or restriction of your connected accounts.

4. INTELLECTUAL PROPERTY RIGHTS

  • Ownership: All rights, title, and interest in and to the Service, including the underlying software, algorithms, source code, and "Nitropace" branding, are owned by Nitropace LLC and are licensed to Mystivas LLC for distribution. You have no ownership rights in the underlying technology.
  • User Content: You retain ownership of any text, images, or data you input into the Service ("User Content"). You grant us a non-exclusive license to use this content solely to provide and improve the Service.

5. SUBSCRIPTION AND PAYMENT

  • Billing: Services are billed on a subscription basis. Payments are processed by our third-party merchant of record (Stripe) under the name Mystivas LLC.
  • Cancellation: You may cancel your subscription at any time via your account dashboard. Access will continue until the end of your current billing period.
  • Refunds: Due to the nature of digital SaaS products, all sales are final. We do not offer refunds for partial months or unused service, except where required by law.

6. PROHIBITED USES

You agree not to use the Service to:

  • Generate spam, hate speech, or content that violates the law.
  • Reverse engineer, decompile, or attempt to extract the source code of the Service.
  • Resell, white-label, or sublicense the Service without our express written consent.

7. DISCLAIMER OF WARRANTIES

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, MYSTIVAS LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

8. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL MYSTIVAS LLC, ITS AFFILIATES (INCLUDING NITROPACE LLC), OR THEIR OFFICERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

9. INDEMNIFICATION

You agree to indemnify and hold harmless Mystivas LLC and Nitropace LLC from any claims, damages, or expenses (including legal fees) arising out of your use of the Service, your violation of these Terms, or your violation of any third-party rights (including the Terms of Service of social media platforms).

10. GOVERNING LAW

These Terms shall be governed by the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in Travis County, Texas.
